WeMix Music Terms and Conditions

These Terms and Conditions (“Terms”) govern the access to and use of the WeMix Music application, website, services, and related features (collectively, the “Service”). By accessing or using WeMix Music, you agree to be bound by these Terms.
1. Eligibility
You must be at least 13 years old, or the minimum legal age in your jurisdiction, to use WeMix Music. If you are under the age of majority in your jurisdiction, you may only use the Service with the consent of a parent or legal guardian.
2. Nature of the Service
WeMix Music is a collaborative social music platform that allows users to create and participate in shared music sessions using third-party music streaming services such as Spotify. WeMix Music does not host, own, distribute, reproduce, transmit, rebroadcast, or sell music content. All music content is provided exclusively by third-party platforms.
3. Independent Service Disclaimer
WeMix Music is an independent application and is not affiliated with, endorsed by, sponsored by, certified by, or officially connected to Spotify or any other third-party music provider unless explicitly stated otherwise in writing.
4. Compliance with Third-Party Platform Terms
By using WeMix Music, you agree to comply with all applicable terms, conditions, policies, restrictions, and usage rules imposed by any third-party music platform connected to the Service, including but not limited to Spotify.
Users are solely responsible for ensuring that their use of WeMix Music complies with all applicable third-party platform requirements, licenses, restrictions, and applicable laws.
Users may not use WeMix Music to circumvent, bypass, or attempt to avoid restrictions, licensing requirements, commercial limitations, or usage policies imposed by Spotify or any other third-party platform.
Use of WeMix Music does not grant users any ownership rights, licenses, public performance rights, commercial streaming rights, or redistribution rights related to Spotify or any third-party content.
Any violation of Spotify or other third-party platform terms while using WeMix Music constitutes a violation of these Terms.
5. Personal and Non-Commercial Use Only
WeMix Music is intended solely for personal, private, and non-commercial use.
Commercial use of WeMix Music is strictly prohibited.
This prohibition applies regardless of whether the commercial activity is public, private, ticketed, sponsored, branded, compensated, promotional, or business-related.
Prohibited commercial uses include, without limitation:
• Use in bars, clubs, restaurants, hotels, gyms, retail stores, business premises, or other commercial venues;
• Use during public events, ticketed events, branded experiences, commercial activations, or business-operated entertainment environments;
• Public performance or commercial broadcasting of music;
• Business-operated music playback or background music use;
• Reselling, sublicensing, commercializing, monetizing, or operating WeMix Music as part of a commercial service or managed entertainment offering;
• Monetizing music playback sessions through admission fees, subscriptions, sponsorships, advertising, promotions, or commercial campaigns.
Users are solely responsible for obtaining any required public performance licenses, business licenses, or commercial music rights.
6. User Accounts
Users are responsible for maintaining the confidentiality of their account credentials and for all activity occurring under their account.
WeMix Music reserves the right to suspend, restrict, or terminate accounts that violate these Terms or violate third-party platform policies, intellectual property rights, licensing restrictions, or applicable laws.
7. User Conduct
Users agree not to:
• Circumvent restrictions imposed by third-party music platforms;
• Attempt to copy, record, redistribute, rebroadcast, or commercially exploit music content;
• Use automated systems, bots, or scripts to manipulate sessions or platform functionality;
• Use WeMix Music in violation of intellectual property laws, licensing restrictions, or public performance regulations;
• Misrepresent affiliation with Spotify or any other third-party service.
8. Intellectual Property
All WeMix Music software, branding, interface elements, graphics, trademarks, and proprietary technology remain the exclusive property of WeMix Music and its licensors.
Third-party music content, trademarks, logos, and platform names remain the property of their respective owners.
9. Third-Party Services and API Dependency
WeMix Music depends on third-party services, APIs, and platform permissions that may change, become unavailable, restrict access, suspend functionality, or revoke permissions at any time without notice.
WeMix Music does not guarantee uninterrupted access, compatibility, feature availability, or continued integration with Spotify or any other third-party provider.
WeMix Music shall not be liable for any loss of functionality, interruption of service, feature removal, or access limitations resulting from third-party platform changes or API restrictions.
10. Service Modifications
WeMix Music reserves the right to modify, suspend, discontinue, limit, or remove any part of the Service, features, integrations, or functionality at any time and without liability.
Features and integrations may evolve, change, or become unavailable due to operational, technical, legal, licensing, or third-party platform requirements.
11. Termination
WeMix Music may suspend or terminate access to the Service immediately and without prior notice if it reasonably believes a user may be violating these Terms, including but not limited to:
• Engaging in prohibited commercial activity;
• Violating third-party platform policies, intellectual property rights, licensing restrictions, or applicable laws;
• Creating legal, operational, or compliance risks for WeMix Music or third-party providers;
• Triggering restriction or termination requirements imposed by third-party platform policies.
12. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
WeMix Music does not guarantee uninterrupted service availability, compatibility with third-party platforms, or error-free operation.
13. Limitation of Liability
To the maximum extent permitted by law, WeMix Music shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of the Service.
Users acknowledge that third-party music platforms may modify or revoke API access, functionality, integrations, or permissions at any time.
14. Indemnification
Users agree to indemnify and hold harmless WeMix Music, its owners, affiliates, officers, employees, and contractors from claims, damages, liabilities, and expenses arising from:
• Violation of these Terms;
• Misuse of third-party music services;
• Unauthorized commercial use;
• Violation of intellectual property, licensing laws, or public performance regulations.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
16. Arbitration and Class Action Waiver
To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the use of WeMix Music shall be resolved through binding individual arbitration and not in court.
Users agree that disputes will be resolved on an individual basis only, and not as part of any class action, consolidated action, or representative proceeding.
By accepting these Terms, users waive any right to participate in a class action lawsuit or class-wide arbitration against WeMix Music.
Nothing in this section prevents either party from seeking relief in small claims court for qualifying claims.
Users may opt out of this arbitration provision by providing written notice to WeMix Music within thirty (30) days of first accepting these Terms.
17. Modifications to Terms
WeMix Music reserves the right to modify these Terms at any time. Continued use of the Service after updates constitutes acceptance of the revised Terms.
18. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By using WeMix Music, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
